1. DEFINITION 

    1. Unless expressly stated otherwise in this EULA, the definition of all capitalized terms and pronouns in this EULA (such as “we”, you”, ”our” etc.) can be found in our Customer Service Registration Form (“CSRF”) which you can find at www.omnimatics.io (“Website”).


  1. LICENSE

    1. We agree to grant you a revocable, non-exclusive, non-transferable, limited license to use WemoFleet on condition that it is used for the purposes and in accordance with the terms and conditions as set out in the Agreement.


  1. SYSTEM REQUIREMENTS

    1. In order to be able to use WemoFleet and receive updates and upgrades from time to time, you must have in place:


a.    a computer or mobile device(s) that meets the system requirements described below; and.

b.    adequate and consistent access to the internet. and shall meet the system requirements described in the Documentation that can be found on the Playstore and App Store

  1. PERMITTED USE AND RESTRICTIONS

    1. The number of permitted users for WemoFleet shall be as described in the Agreement.


  1. You agree not to, and you will not permit others to do any of the following without our express written approval: 


a.    license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit WemoFleet or make WemoFleet available to any third party;

b.    delete or alter any disclaimers, warnings, copyright or other proprietary notices accompanying the WemoFleet App; or

c.    copy, adapt, translate, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify or create derivative works of the WemoFleet or any parts thereof; or

d.    adjust, modify, reverse-engineer or otherwise tamper with WemoFleet or any part thereof.


  1. PERMITTED MODIFICATIONS 

    1. We reserve the right to modify, suspend or discontinue, (temporarily or permanently), WemoFleet or any service to which it connects or parts thereof, with or without notice and without liability or compensation to you.


  1. TERM AND TERMINATION

    1. This EULA shall commence when you click the "I Agree" button or use WemoFleet. 

    2. This EULA is subject to the terms and conditions of the Agreement and shall remain in effect until the Agreement is terminated in accordance with the terms thereof. 

    3. We may in our sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice and without any liability or compensation to you.

    4. This EULA will terminate without prior notice from us in the event that you fail to comply with any provision of the Agreement. 

    5. You may also terminate this EULA by complying with the terms of termination as set out in the CSRF and deleting WemoFleet and all copies thereof from your computer(s) and mobile device(s).

    6. Upon termination of this EULA, you shall immediately cease all use of WemoFleet and delete all copies of WemoFleet from your computer(s) and mobile device(s)


  1. SEVERABILITY

    1. If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.


  1. DISCLAIMER

    1. Use of WemoFleet shall be at your own risk.  We shall not be responsible for any losses or damages sustained by you or any of your customers as a result of the use of WemoFleet. 


  1. AMENDMENTS 


  1. We reserve the right, at its sole discretion, to amend, modify or replace this EULA or any part thereof (“Changes”) at any time. All Changes will be posted on our Website. You are encouraged to visit our Website for the latest version of the EULA.

  2. If Changes are material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes material Changes will be determined at our sole discretion.


  1. GOVERNING LAW AND SETTLEMENT OF DISPUTES 

    1. This EULA shall be governed by the laws of Malaysia and any dispute arising hereunder shall be resolved by any court of competent jurisdiction in Malaysia.
